Terms of use

Last updated: October 27, 2026 · Version 2026-10-v3

Draft under legal review. This document may change before launch.

These terms govern your use of Tierval (tierval.com). By creating an account or using the site you accept these terms, the Privacy policy and the Risk disclosure. If you do not agree, do not use the platform.

1. Who we are

Tierval is an online community operated by YILD AI LLC (614 G Street SW, Washington, DC 20024, United States) ("Tierval", "we") that connects investors with real estate project developers ("sponsors") and offers educational content about real estate development investing.

2. What Tierval is and is not

Tierval is an information and community platform. Tierval:

  • is not a broker-dealer, a registered investment adviser, a funding portal or a bank;
  • does not offer, sell or solicit the purchase of securities, and nothing on the site is an offer or a solicitation of an offer;
  • does not provide investment, legal, accounting or tax advice, and does not recommend any particular project;
  • does not receive, hold or manage investor money.

Any investment is made outside Tierval, only through registered intermediaries or directly with the sponsor, under its own offering documents (for example, a private placement memorandum and a subscription agreement), which prevail over any information shown on the site.

3. Who can use Tierval

You must be at least 18 years old and legally able to enter into contracts. Some sections, such as deal rooms, are reserved for investors who state that they meet accredited investor or other requirements under applicable law. We may ask for information or documents to verify this and deny access if it is not shown.

You are responsible for making sure your participation is legal in the country where you live.

4. Your account

  • You sign in with a link sent to your email. Keep your email account secure: anyone with access to it can enter your Tierval account.
  • The information you give when you sign up must be true and up to date.
  • You can turn on two-step verification; it is mandatory for the Tierval team.
  • Tell us right away at legal@tierval.com if you think someone used your account without permission.

5. Investors

  • Deal room: to see a project's documents you must accept the non-disclosure agreement (NDA) and be approved by the team. What you see in a deal room is confidential and you may not share it, copy it or use it for any purpose other than evaluating the investment.
  • Calls with developers: if a project interests you, you can request a call with its developer. By requesting it you agree that Tierval may share your name, your email and the details you enter in the form with that developer. Tierval only introduces you: it does not take part in the investment discussion, does not recommend it and receives no payment that depends on whether you invest.
  • Before investing, review the official offering documents and consult your own advisers.

6. Sponsors and developers

  • You represent that you have the right to publish the information, photos and documents you upload, and that they are truthful, complete and not misleading.
  • You alone are responsible for your project, your offering and compliance with securities and other applicable laws, including rules on advertising offerings.
  • Figures you state, such as the expected annual return, are your projections; you must be able to support them with your pro forma.
  • Tierval's review is an admission review for the community, not an audit, full due diligence or an endorsement of the project.
  • You allow us to display the content you publish on Tierval while your project is published.
  • Application, listing or service fees (for example, the additional marketing service) are fixed: they are disclosed before you pay them, are governed by what is agreed separately and never depend on how many investors arrive, on calls, on the capital you raise or on whether an investment closes.
  • The application review fee (USD 100 per project) is paid when you apply, covers the team's review work and is not refunded, even if the project is not approved or you withdraw the application. It is only refunded if Tierval does not review it.
  • If you hire the marketing service or advertise your offering, you alone are responsible for making sure that advertising complies with securities laws, including the exemption under which you raise capital (for example, Rule 506(c) of Regulation D). Tierval only runs the campaign with content you approve.
  • Calls with investors: when an investor requests a call, you receive their name, email and the details they entered, with their consent. You may use them only to discuss your project, must protect them and may not share or sell them. The investment conversation is between you and the investor; Tierval does not take part in it.

7. Projections and returns

Returns, terms and goals shown on the site are sponsor estimates or illustrative examples (such as the calculator). They are not a promise or a guarantee. A sponsor's past results do not guarantee future results. Read the Risk disclosure.

8. Referral program

You can invite others with your link. Tierval does not pay commissions or compensation tied to investments made by the people you invite. We may change or end the program at any time.

9. Acceptable use

You may not:

  • use Tierval for illegal, fraudulent or misleading purposes;
  • post false information or impersonate someone else;
  • scrape data, try to access accounts or sections that are not yours, or compromise the site's security;
  • contact other members to offer investments outside the platform's channels.

10. Intellectual property

The Tierval brand, the site design and the educational content belong to YILD AI LLC or its licensors. Content uploaded by sponsors remains theirs.

11. Liability

Tierval is provided "as is" and "as available". We do not guarantee that information published by third parties is accurate or complete. To the extent permitted by law, Tierval is not liable for losses arising from investment decisions, from the conduct of sponsors or intermediaries, or for indirect damages. Nothing in these terms limits liability that cannot be limited by law.

You agree to hold Tierval harmless from claims arising from your breach of these terms or from the information you publish.

12. Suspension and closure

You can close your account by writing to us. We may suspend or close accounts, remove projects or deny access to a deal room in case of a breach of these terms, risk to other members or a legal requirement.

13. Changes

We may update these terms. We will publish the new version with its date and, if the change is material, notify you by email or on the site. Continuing to use Tierval after the notice means you accept the new version.

14. Governing law and contact

The governing law and the forum for resolving disputes will be set in the final version reviewed by our counsel. For any question about these terms write to legal@tierval.com.
